LEX ARCA™ LEGAL VAULT

Terms of Use

Last updated: September 5, 2026

These Terms of Use (“Terms”) govern your access to and use of the LEX ARCA™ CLE platform at cle.lex-arca.com, including the course “Where Does Your AI Actually Run?”, its written materials, video lectures, assessments, and certificates (collectively, the “Course”), operated by KIM XI LEGACY ENTERPRISE LLC, doing business as LEX ARCA™ LEGAL VAULT and LEX ARCA™ CLE (“LEX ARCA,” “we,” “us,” or “our”). By creating an account, purchasing access, or using the Course, you agree to these Terms. If you do not agree, do not use the Course.

Disclaimer

All information contained within this website and the Course is provided for general educational and informational purposes only and is not intended as legal, ethics, tax, or other professional advice. To determine how any of this information applies to your practice, consult your state bar, independent ethics counsel, or another qualified professional.

Educational Purposes Only — Not Legal Advice

The Course, including all materials, workbooks, handouts, video lectures, and related content, is provided strictly for educational and informational purposes. Nothing in the Course constitutes legal advice, an ethics opinion, or a legal opinion, and nothing in it creates an attorney–client relationship between you and LEX ARCA, KIM XI LEGACY ENTERPRISE LLC, or the instructor.

KIM XI LEGACY ENTERPRISE LLC and the course instructor are not acting as your attorney, your ethics counsel, or a bar-admission or accreditation authority. The analysis presented — including the discussion of ABA Model Rules, ABA Formal Opinion 512, state bar opinions, court sanctions decisions, and verification workflows — reflects the instructor’s own study and interpretation of publicly available authorities as of the date of recording. It is presented as one practitioner’s analytical framework for technology competence, not as a guarantee against professional discipline, malpractice liability, or court sanctions.

No Guarantee of Results

KIM XI LEGACY ENTERPRISE LLC makes no representations or warranties regarding the accuracy, completeness, or applicability to your practice of the methods, checklists, or frameworks taught, and does not guarantee any specific outcome — including that following them will prevent a sanction, a bar complaint, a malpractice claim, or an adverse ruling. Individual results vary based on jurisdiction, practice area, the tools you use, market and regulatory conditions, and your own execution.

Compliance & CLE Credit Disclosure

The regulatory landscape for attorney use of artificial intelligence is developing rapidly and varies by jurisdiction. Rules, ethics opinions, standing orders, and enforcement practices referenced in the Course may change after the date of recording. Court decisions and sanctions outcomes discussed in the Course are historical and specific to their facts; they are not indicative of how any court will rule in your matter.

LEX ARCA is a self-certifying CLE provider. LEX ARCA does not guarantee that any state bar, MCLE board, or other regulatory body will accept the Course for credit, in any amount or category. Confirming credit eligibility, hour and category requirements, carry-over rules, and reporting deadlines in your licensing jurisdiction is your responsibility.

Your Professional Responsibility

By enrolling in or accessing the Course, you acknowledge that every filing, disclosure, citation-verification, supervision, billing, and client-communication decision you make is made independently, in the exercise of your own professional judgment, and remains your sole responsibility under the rules of professional conduct that govern you. You are strongly encouraged to consult your state bar’s ethics resources or independent ethics counsel before adopting any AI workflow in client matters.

Eligibility & Accounts

The Course is intended for licensed attorneys and legal professionals who are at least 18 years old. When you create an account you agree to provide accurate and complete information, including your legal name, bar number, and licensing jurisdiction, and to keep that information current. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Accounts are personal to you and may not be shared, sold, or transferred, and no other person may view the Course or complete it in your place. Notify us promptly of any unauthorized use.

CLE Completion Requirements

Consistent with distance-learning and on-demand MCLE standards across U.S. jurisdictions, certification eligibility requires that you:

  • view every chapter of the Course in full;
  • respond to the mid-lecture engagement check that appears once, at approximately the midpoint of each chapter, confirming your active participation;
  • achieve a score of at least 70% on the post-course comprehension assessment (retakes are permitted); and
  • submit the required course evaluation.

Skipping, fast-forwarding past unviewed content, or otherwise manipulating playback or the engagement checks will invalidate your certification eligibility. The platform records playback progress, engagement-check responses, and assessment results for this purpose, as described in our Privacy Policy.

Certificates & MCLE Credit

Upon satisfying all completion requirements, a Certificate of Attendance & Completion is generated automatically. Each certificate reflects the information in your account (legal name, bar number, and jurisdiction), the credit breakdown (1.0 Ethics + 1.5 Technology Competence, 2.5 total hours), the date of completion, and a cryptographic verification code. You are responsible for the accuracy of the account information printed on your certificate.

In self-submission jurisdictions, you may submit your certificate and the provided timed syllabus and written materials to your state bar for individual MCLE credit approval. As stated above, LEX ARCA does not guarantee that any particular authority will accept the Course or award credit.

Record Retention

LEX ARCA retains attendance and playback logs, engagement-check confirmations, assessment results, and certificate issuance records for a minimum of four (4) years to support state bar compliance audits. You may request a copy of your own completion records at any time.

Intellectual Property Rights

The services provided by KIM XI LEGACY ENTERPRISE LLC encompass online courses, training and written materials, video content, assessments, certificates, and, where offered, consultation services and the LEX ARCA™ LEGAL VAULT software platform (collectively, the “Services”). All content made available through the Services — including course materials, video lectures, slide decks, text, graphics, logos, designs, and the overall appearance and functionality of our platforms — and the names and marks used in connection with the Services, including “LEX ARCA™,” “LEX ARCA™ LEGAL VAULT,” and “LEX ARCA™ CLE,” are the property of KIM XI LEGACY ENTERPRISE LLC (the “Marks”). You are strictly prohibited from using the Marks in any manner without the express prior written consent of KIM XI LEGACY ENTERPRISE LLC.

You are granted a limited license only for purposes of viewing the material contained on this Website and completing the Course for your own professional education.

This prohibition includes, but is not limited to, use of the Marks in connection with any product or service not offered by KIM XI LEGACY ENTERPRISE LLC, in any manner likely to cause confusion among consumers, or in any way that disparages or dilutes the distinctiveness of the Marks.

All other content provided through the Services, including copyrighted materials, is owned by KIM XI LEGACY ENTERPRISE LLC or its licensors and is protected by applicable copyright laws. You may access and use this content solely for your personal, non-commercial use directly related to your participation in the Course.

You are expressly prohibited from reproducing, distributing, modifying, creating derivative works of, publicly displaying, publicly performing, republishing, downloading (except as expressly permitted for personal use within the scope of the Course — for example, the handouts and the state bar self-submission packet), recording, screen-capturing, storing, or transmitting any of the intellectual property associated with the Services without the prior written authorization of KIM XI LEGACY ENTERPRISE LLC. Any unauthorized use of our Marks or copyrighted materials will be vigorously pursued and may result in legal action to protect our rights.

All rights not expressly granted to you are reserved by KIM XI LEGACY ENTERPRISE LLC.

Refund Policy

We stand behind the Course. If it is not the right fit, contact us first and we will make it right — a refund is available on the terms below, and you do not need to dispute the charge with your bank to receive one.

To request a refund, email legalvault@lex-arca.com within fourteen (14) days of your purchase, with your name and the email address associated with your account. Approved refunds are issued to your original method of payment, and your access to the Course, dashboard, and downloadable materials is deactivated when the refund is processed.

  • Full refund — if you have viewed no more than the first two chapters of the Course and have not passed the comprehension assessment or been issued a Certificate of Completion.
  • Partial refund — if you have viewed more than the first two chapters but have not passed the comprehension assessment or been issued a Certificate of Completion, we will refund the amount you paid, less a fixed non-refundable administration fee of $49 and the non-refundable payment-processing fees charged on your original transaction. These amounts cover the portion of the Course already delivered to you and the costs of processing the payment and the refund.
  • No refund — once you have passed the comprehension assessment, once a Certificate of Completion has been issued, or more than fourteen (14) days after purchase. At that point you have received the full benefit of the Course.

Where a subscription plan to the LEX ARCA™ LEGAL VAULT is offered, it may be cancelled at any time and remains active through the end of the current billing period; partial billing periods are not prorated or refunded.

This Refund Policy is presented before purchase and restated within the training platform, so that full notice is given before you enroll.

Payment Disputes & Chargebacks

Because a refund is available directly and promptly on the terms above, we ask that you contact us at legalvault@lex-arca.com before initiating a chargeback or payment dispute with your card issuer or bank. Most concerns are resolved faster this way, and a dispute filed while a refund is already available only delays it.

Nothing in these Terms waives or limits any right you have under applicable law to dispute a charge with your card issuer or financial institution.

If a chargeback is filed for a purchase that has already been refunded, or after a Certificate of Completion has been issued, we may provide your card issuer with the transaction record, your account and completion logs, and a copy of this policy, and may seek to recover any amount improperly charged back together with the actual dispute fee charged to us by our payment processor, to the extent permitted by law and by our payment processor’s rules.

Third-Party Services

The Course relies on third-party providers, including Stripe for payment processing, Supabase for authentication and data hosting, and a content-delivery host for video streaming. Your use of those services through the Course is also subject to their respective terms. Links to external sites are provided for convenience; LEX ARCA is not responsible for third-party content or practices.

Disclaimers, Limitation of Liability & Indemnification

THE COURSE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LEX ARCA DOES NOT WARRANT THAT THE COURSE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ITS CONTENT IS COMPLETE OR CURRENT, OR THAT ANY BAR OR REGULATORY BODY WILL AWARD CLE CREDIT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIM XI LEGACY ENTERPRISE LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE COURSE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE COURSE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE COURSE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

You agree to indemnify and hold KIM XI LEGACY ENTERPRISE LLC harmless from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms, your misuse of the Course, or your submission of inaccurate certification information to a bar or regulatory body.

Changes, Governing Law & Disputes

We may modify the Course or these Terms at any time. Material changes will be posted here with an updated “Last updated” date, and your continued use after changes take effect constitutes acceptance. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Texas, and you consent to their personal jurisdiction and venue. If any provision is found unenforceable, the remaining provisions remain in effect.

Anti-Discrimination Policy

KIM XI LEGACY ENTERPRISE LLC does not and shall not discriminate on the basis of race, color, religion (creed), gender, gender expression, age, national origin (ancestry), disability, marital status, sexual orientation, or military status in any of its activities or operations. These activities include, but are not limited to, hiring and firing of staff, selection of volunteers and vendors, and provision of services. We are committed to providing an inclusive and welcoming environment for all members of our staff, clients, volunteers, subcontractors, vendors, and enrollees.
